BizNetAI Terms of Service
Effective Date: Aug 28 2026
Last Updated: Aug 28 2026
1. Agreement to These Terms
These Terms of Service ("Terms") govern access to and use of BizNetAI, an agentic e-commerce engine and B2B platform operated by ConsumerGenie Corporation, a Delaware corporation ("we," "our," or "us").
These Terms apply to enterprise merchants, e-commerce platform operators, developers, and business partners ("you," "your," "Merchant," or "Customer") who access the platform, APIs, SDK, storefront agent, marketplace applications, or related services (collectively, the "Services").
By creating an account, installing a BizNetAI application from a platform marketplace, issuing an API key, or otherwise using the Services, you agree to these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company. If you do not agree, you may not use the Services.
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
2. Description of the Services
BizNetAI makes a merchant's product catalog available to AI shopping agents and conversational interfaces. The Services include:
- Catalog ingestion. We read product data from your connected commerce platform and store a synchronized copy in our systems so it can be searched.
- Natural language search. We generate vector embeddings of your catalog so agents can answer product queries.
- Cart and checkout relay. We construct carts on your commerce platform and return a checkout URL hosted by that platform.
- APIs and SDK. Programmatic access to the above, authenticated by API keys we issue to you.
2.1 We Are Not a Payment Processor
This is a material term. BizNetAI does not process payments, does not act as a merchant of record, and does not collect, transmit, or store cardholder data.
Checkout is completed on your commerce platform's own hosted checkout. We create a cart through your platform's API and redirect the consumer to that platform to pay. Funds move directly between the consumer and you, through your existing payment provider, and never touch our systems or accounts.
You remain solely responsible for payment processing, order fulfillment, refunds, chargebacks, taxes, and all obligations to your consumers.
3. Eligibility and Accounts
3.1 Eligibility
The Services are offered to businesses, not to consumers. You must be at least 18 years old and capable of forming a binding contract. You may not use the Services if you are barred from doing so under applicable law.
3.2 Account Registration
Some accounts are created directly through our developer portal. Others are provisioned automatically when you install a BizNetAI application from a commerce platform marketplace, using the store owner email that platform provides to us.
You agree to provide accurate information and to keep it current. You are responsible for all activity that occurs under your account.
3.3 API Keys
We issue secret API keys, distinguished by environment, that authenticate requests as your account. Keys are shown once and stored only as a hash on our side.
You are responsible for keeping keys confidential. Do not embed them in client-side code, public repositories, or anything a third party can read. Activity authenticated by your key is treated as yours. Notify us promptly at info@consumergenie.net if you believe a key has been exposed, and we will revoke it.
4. Platform Connections and Your Content
4.1 Authorization
To connect a store, you authorize us to access your commerce platform account through OAuth or credentials you supply. You represent that you have the right to grant that access for every store you connect.
4.2 Scope of Access
We request the narrowest access the Services need. Today that is reading products, reading store information, and modifying carts, together with permission to register the webhooks that keep your catalog current. We will not use that access for any purpose other than providing the Services.
4.3 Your Content
"Your Content" means product data, catalog text, images, store information, and anything else we ingest from your connected store or you submit to the Services.
As between you and us, you retain all ownership of Your Content. You grant us a non-exclusive, worldwide, royalty-free license to host, copy, index, transmit, create vector embeddings from, and display Your Content solely to operate and improve the Services for you and to respond to agent queries about your catalog.
You represent that you own or have the necessary rights to Your Content and that it does not infringe any third party's rights.
4.4 Disconnection
You may disconnect a store or uninstall a marketplace application at any time. On uninstall we mark the connection inactive and stop syncing. See our Privacy Policy for how long residual data is retained.
5. Acceptable Use
You may not, and may not permit anyone else to:
- Use the Services to list or sell goods or services that are illegal in any applicable jurisdiction.
- Upload content that is unlawful, infringing, deceptive, or that misrepresents products, pricing, or availability.
- Connect a store you do not own or are not authorized to administer.
- Attempt to access another customer's data, account, keys, or catalog.
- Probe, scan, or test the vulnerability of the Services without our prior written consent, or breach any security or authentication measure.
- Reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent that restriction is unenforceable under applicable law.
- Use the Services to build a competing product, or to train a machine learning model on data belonging to other customers.
- Exceed documented rate limits, or otherwise impose an unreasonable load on the Services.
- Resell or sublicense the Services without a written agreement with us.
We may suspend access without notice if we reasonably believe conduct violates this section or presents a security or legal risk.
6. Fees and Billing
BizNetAI is offered on a pay-as-you-go basis. Applicable fees, metering, and billing terms are those presented to you at the time of signup, in an order form, or in a separate written agreement.
Where fees apply:
- Fees are stated exclusive of taxes, and you are responsible for any taxes other than those on our net income.
- Fees are non-refundable except where required by law or expressly stated otherwise.
- We may change pricing on at least 30 days' notice. Continued use after a change takes effect constitutes acceptance.
Installing a marketplace application does not by itself create a payment obligation. Any platform marketplace may separately charge you under its own terms, which are between you and that platform.
7. Third-Party Services
The Services depend on third parties, including commerce platforms you connect, cloud infrastructure providers, and AI model providers used to generate embeddings and agent responses.
We are not responsible for third-party services, their availability, or their terms. Your use of a connected commerce platform is governed by your agreement with that platform. A change or outage on their side may affect the Services, and we do not control that.
8. Intellectual Property
The Services, including all software, models, interfaces, documentation, and the BizNetAI and ConsumerGenie marks, are owned by us and our licensors and are protected by intellectual property law. Except for the limited right to use the Services under these Terms, no rights are granted to you.
You may not use our name or marks without our prior written permission.
8.1 Feedback
If you send us suggestions or feedback, you grant us an unrestricted, perpetual, royalty-free right to use it without obligation to you.
9. Confidentiality
Each party may receive non-public information of the other. The receiving party will protect it with at least reasonable care, use it only to perform under these Terms, and disclose it only to personnel and contractors bound by comparable obligations. This does not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.
10. Service Availability
We aim to keep the Services available but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue any part of the Services, and we will use reasonable efforts to give notice of material changes that adversely affect you.
Unless we have signed a separate agreement with you that says otherwise, the Services are provided without a service level commitment.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error free, or secure, or that outputs generated by AI models will be accurate, complete, or suitable for any purpose. AI-generated responses may be wrong. You are responsible for reviewing how your catalog is represented to consumers and for the accuracy of your product data, pricing, and availability.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS.
These limitations do not apply to either party's liability for fraud, willful misconduct, or gross negligence, or to your payment obligations, to the extent such limitations are unenforceable under applicable law.
13. Indemnification
You will defend, indemnify, and hold us harmless from third-party claims arising out of Your Content, your products or their sale, your use of the Services in breach of these Terms, or your violation of applicable law or of a third party's rights.
We will defend, indemnify, and hold you harmless from third-party claims alleging that the Services, used as permitted by these Terms, infringe that third party's intellectual property rights.
The indemnified party must give prompt notice, allow the indemnifying party to control the defense, and provide reasonable cooperation.
14. Term, Suspension, and Termination
These Terms apply for as long as you use the Services.
You may stop at any time by disconnecting your stores, uninstalling any marketplace application, and closing your account.
We may suspend or terminate your access if you materially breach these Terms and do not cure within 15 days of notice, if required by law, or immediately where continued access presents a security, legal, or fraud risk.
On termination, your right to use the Services ends and we will handle residual data as described in our Privacy Policy. Sections that by their nature should survive, including 4.3, 8 through 13, 15, and 16, survive termination.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules, and excluding the UN Convention on Contracts for the International Sale of Goods.
Before filing a claim, each party agrees to attempt to resolve the dispute informally by contacting the other and negotiating in good faith for at least 30 days.
If that fails, the state and federal courts located in Delaware will have exclusive jurisdiction, and both parties consent to personal jurisdiction and venue there. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
Nothing in this section limits any non-waivable right you have to bring proceedings in your local jurisdiction where applicable law requires it.
16. General
Entire Agreement. These Terms, the Privacy Policy, and any order form or written agreement referencing them are the entire agreement between the parties on this subject and supersede prior discussions. Where a signed agreement conflicts with these Terms, the signed agreement controls.
Changes. We may update these Terms. When we do, we will revise the "Last Updated" date above and, for material changes, provide reasonable advance notice. Continued use after changes take effect constitutes acceptance.
Assignment. You may not assign these Terms without our prior written consent, except to a successor in a merger or sale of substantially all assets. We may assign freely.
Force Majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
Severability and Waiver. If any provision is held unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it.
Independent Contractors. Nothing here creates a partnership, joint venture, agency, or employment relationship.
Notices. We may give notice by email to the address on your account or by posting in the Services. Notices to us go to the address in Section 17.
